INVESCO BLUE CHIP TRUST PLC

At an Extraordinary General Meeting of the above-named Company held at 11 Devonshire Square, London EC2M 4YR, on 9th April 1998, at 9 a.m., the following Special Resolutions were duly passed:   “That, subject as mentioned below, the Company be and is hereby wound up voluntarily, under the provisions of the Insolvency Act 1986, and that Phillip Rodney Sykes and Martin Fishman, both of Arthur Andersen, 1 Surrey Street, London WC2R 2PS, be and they are hereby appointed Liquidators (the “Liquidators”) for the purposes of such winding-up, such Liquidators to be empowered to act jointly and severally, that the remuneration of the Liquidators shall be fixed by reference to the time properly given by them and their staff in attending to matters arising prior to and during the winding-up (and in addition they shall be reimbursed for their expenses properly incurred in attending to such matters so arising) and the Liquidators be and they are hereby authorised to draw their fees and expenses as aforesaid monthly or at such other intervals as they deem appropriate, and that the Liquidators be and are hereby authorised to exercise the powers set out in Part I of Schedule 4 to the Insolvency Act 1986, namely, to pay all Creditors in full and to make compromises with Creditors or Debtors of the Company, and that this Resolution is in all respects conditional upon the Special Resolution to be proposed at the Extraordinary General Meeting of the Company convened for 1st April 1998, having been passed and the conditions precedent to such Special Resolution (other than the passing of this Resolution) having been fulfilled on or before the date of the passing of this Resolution.”     By Order of the Board.
