Resolutions for Winding-up

At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Baker Tilly, 1 Gillingham House, Pannells Court, Guildford GU1 4EU, on 30th April 1998, the subjoined Extraordinary Resolutions were duly passed: “That it has been proved to the satisfaction of this Meeting that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable that the same should be wound up, and that the Company be wound up accordingly, and that Richard Eaglesfield Floyd and Peter John Robertson Souster, of Baker Tilly, 1 Gillingham House, Pannells Court, Guildford, Surrey GU1 4EU, be and they are hereby appointed the Joint Liquidators of the Company for the purposes of such winding-up.” B.
