At an Extraordinary General Meeting of the Company, duly convened, and held at 76 New Cavendish Street, London W1M 7LB, on 28th April 1998, the following Special Resolution was duly passed :   “That the Company be wound up voluntarily, and that Jeremy Hugh Berman, of Berley, 76 New Cavendish Street, London W1M 7LB, be and hereby is appointed Liquidator for the purpose of such winding-up, and that the Liquidator be and is authorised to exercise the powers contained in Schedule 4, Part 1 of the Insolvency Act, and that the Liquidator be and hereby is authorised to divide among the Members in specie all or any part of the Company’s assets.” B.
