BEAK FOODS LIMITED (formerly Focaccia Fiorentina (London) Ltd.)

At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Melrose House, 4-6 Savile Row, London W1X 1AF, on 12th June 1998, the following Resolutions were duly passed as an Extraordinary Resolution and as an Ordinary Resolution respectively:   “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Thomas P. Dales, be and he is hereby appointed Liquidator for the purposes of such winding-up.”   At a subsequent Meeting of Creditors held on the same day, pursuant to section 98 of the Insolvency Act 1986, the appointment of Thomas P. Dales as Liquidator of the Company was confirmed by Creditors. D. Longcroft, Director
