At an Extraordinary General Meeting of the above-named Association, duly convened, and held at the registered office of the Association, Pearl Assurance House, Derby Square, Liverpool, on 12th June 1998, the subjoined Special Resolution was duly passed:   “That the Association be wound up voluntarily, and that William Scott Martin, of Ernst & Young, 100 Barbirolli Square, Manchester M2 3EY, be and is hereby appointed Liquidator for the purposes of such winding-up.” J.
