At an Extraordinary General Meeting of the Company held at Boughton Road, Rugby, Warwickshire, on 15th June 1998, the following Special Resolution and Extraordinary Resolutions were passed respectively:   “That the Company be wound up voluntarily and that Antony R. Fanshawe, of Fanshawe Lofts, 41 Castle Way, Southampton SO14 2BW, is hereby appointed Liquidator, and that the Liquidator shall have the powers set out in Part 1 of Schedule 4 of the Insolvency Act 1986, and that the Liquidator is authorised to distribute surplus assets in specie to the Shareholder.” B.
