At an Extraordinary General Meeting of the above-named Company, convened and held at Poligono Industrial San Vicente S/N, 08755 Castellbisbal, Barcelona, Spain, on 20th February 1998, at 10 a.m., the following Resolutions were passed:   “That the Company be wound up voluntarily, and that G. C. A. Morphitis, of Grant Thornton, Grant Thornton House, Melton Street, Euston Square, London NW1 2EP, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.” J.
