We, the undersigned, being all the Members of the Company who, at the date of these Resolutions would be entitled to attend and vote at General Meetings of the Company, hereby pass the following Resolutions, as a Special Resolution, as an Ordinary Resolution and as an Extraordinary Resolution respectively:   That the Company be wound up voluntarily, and that Tracey Maris, of Grant Thornton, 1 Westminster Way, Oxford OX2 0PZ, be appointed Liquidator of the Company for the purposes of the voluntary winding-up, and that the Liquidator’s remuneration, and fees for Grant Thornton’s tax advice, be fixed by reference to Grant Thornton’s time costs, and that the Liquidator be authorised to pay all Creditors in full.” C.
