At an Extraordinary General Meeting of the Members of the above-named Companies, duly convened, and held at 22 Grosvenor Gardens, London SW1W 0DH, on 31st July 1998, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:   That the Companies be wound up voluntarily, and that Martin Freeman, of Griffins, 33 St. Georges Drive, London SW1V 4DG, be and he is hereby appointed Liquidator for the purposes of such winding-up, and that the Liquidator be and he is hereby empowered to distribute the assets of the Company in specie.” L.
