At an Extraordinary General Meeting of the Company, duly convened, and held at M/K Wheeler Limited, Mill Street, Brierley Hill, West Midlands, on 11th November 1998, the following Special Resolution was duly passed:   “That the Company be wound up voluntarily, and that Donald Bailey, of Ernst & Young, 100 Barbirolli Square, Manchester M2 3EY, be and hereby is appointed Liquidator for the purposes of such winding-up.” H.
