At an Extraordinary General Meeting of the above-named Company, duly convened, and held at New Century Street, Hanley, on 9th November 1998, the following Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively:   “That the Company be wound up voluntarily, and that John Paul Bateman and Michael Thomas Seery, of KPMG Corporate Recovery, Festival Way, Stoke-on-Trent, Staffordshire ST1 5TA, be and are hereby appointed Joint Liquidators for the purpose of such winding-up, and that any power conferred on them by the Company, or by the law, be exercisable by them jointly, or by either of them alone.” Chairman
