At an Extraordinary General Meeting of the above-named Company, duly convened, and held on Monday, 30th November 1998, at 12 noon, the following Resolutions were passed, as a Special Resolution, as an Ordinary Resolution and as an Extraordinary Resolution respectively: “That the Company be wound up voluntarily, that David Swaden, of BDO Stoy Hayward CRI, 3rd Floor, Peter House, St. Peters Square, Manchester M1 5AB, be appointed Liquidator, and that in accordance with the provisions of the Company’s articles of association, the Liquidator be and is hereby authorised to divide among the Members in specie all or any part of the Company’s assets.” J.
