At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Freshfields, 65 Fleet Street, London EC4Y 1HS, on 3rd December 1998, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:   “That Roadchef (Hamilton) Limited (the Company) be wound up voluntarily, and that Martin Fishman, of Arthur Andersen, 1 Surrey Street, London WC2R 2NT, be and is hereby appointed Liquidator for the purposes of the winding-up of the Company.” Chairman
