At an Extraordinary General Meeting of the above-named Company, held at Aiwa RAID Technology Inc., 6500 East Rogers Circle, Boca Raton, FL 33487, U.S.A., on 3rd December 1998, the following Special Resolution was passed:
“That the Company be wound up as a Members’ voluntary liquidation, and that Colin Graham Bird and Nigel Steven Hill, of PricewaterhouseCoopers, No. 1 London Bridge, London SE1 9QL, are hereby appointed as its Liquidators and the powers of the Liquidators may be exercised by either independently of the other.”
