At an Extraordinary General Meeting of the above-named Company, duly convened, and held at The Old Rectory, Church Street, Weybridge, Surrey KT13 8DE, on 16th December 1998, the subjoined Special Resolution was duly passed:
“That the Company be wound up voluntarily, and that Michael Sutcliffe, of The Wells Partnership, The Old Rectory, Church Street, Weybridge, Surrey KT13 8DE, be and he is hereby appointed Liquidator for the purposes of such winding-up.”
