At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 77 Ripponden Road, Oldham OL1 4EL, on 16th December 1998, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that M. T. Seery, of KPMG Corporate Recovery, St. James’ Square, Manchester M2 6DS, be and is hereby appointed Liquidator for the purposes of such winding-up.” G. J. White, Chairman
