At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 217 Sherbourne Road, Yeovil, Somerset, on 16th December 1998, the subjoined Resolutions were duly passed, as a Special Resolution and as an Extraordinary Resolution respectively: “That the Company be wound up voluntarily and that Geoffrey Lambert Carton-Kelly and Richard Eaglesfield Floyd, of Baker Tilly, The Clock House, 140 London Road, Guildford, Surrey GU1 1UW, be and they are hereby appointed the Joint Liquidators of the Company for the purposes of such winding-up, and that the Joint Liquidators be and are hereby authorised under the provisions of section 165 of the Insolvency Act 1986 to exercise the powers laid down in Schedule 4 Part 1 of the said Act.” A.
