At an Extraordinary General Meeting of the above-named Companies, duly convened and held at the offices of Try Group plc, Cowley Business Park, Cowley, Uxbridge, Middlesex UB8 2AL, on 23rd December 1998, the subjoined Special Resolution was duly passed: That the Company be wound up voluntarily and that Melvyn L. Rose, of Elliot, Woolfe & Rose, Premier House, 112 Station Road, Edgware, Middlesex HA8 7TT, be and he is hereby appointed Liquidator for the purposes of such winding-up.” The Liquidator is authorised to divide all or such part of the surplus assets of the Companies as he shall think fit in specie amonst the Members of the Companies.
