At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held on 31st December 1998, the following Special Resolution was duly passed: That the Company be wound up voluntarily, and that Helen Timothe Phillips, of Phillips & Co., 21-23 Station Road, Gerrards Cross, Buckinghamshire SL9 8ES, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.” W.
