At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 1 St. Swithin Street, Worcester WR1 2PY, on 24th December 1998, the subjoined Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that N. F. Hickling and A. Appleyard, of Smith & Williamson, No. 1 St. Swithin Street, Worcester WR1 2PY, be and are hereby appointed Liquidators for the purposes of such winding-up.” At a subsequent Meeting of Creditors held on 7th January 1999, at 1 St. Swithin Street, Worcester WR1 2PY, the appointment of N. F. Hickling and A. Appleyard was confirmed by the Creditors. K. Jones, Chairman
