At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Buchler Phillips, 84 Grosvenor Street, London W1X 9DF, on 22nd February 1999, the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that I.
