PALLAS INVEST S.A.

Notice is given as of 15th June, 1999, Pallas Invest S.A., has transferred a 10.1501 per cent limited partnership interest in Pallas Invest Iberian Fund, a limited partnership established under the Limited Partnership Act of 1907, to Union d’Etudes et d’Investissements, Paul Capital Partners V, LP, Paul Capital Partners V (Domestic Annex Fund), LP and Paul Capital Partners V International, LP. As of such date, all of the aforementioned entities to whom such interests have been transferred have become limited partners in Pallas Invest Iberian Fund. Pallas Invest S.A. retains an interest in and remains a limited partner in Pallas Invest Iberian Fund.
