In the High Court of Justice (Chancery Division) Companies Court.  No. 7685 of 2000 In the Matter of ROYAL LIVER ASSURANCE LIMITED FRIENDS’ PROVIDENT LIFE OFFICE and in the Matter of the Insurance Companies Act 1982 Notice is hereby given that a Petition (the “Petition”) was on 11th December 2000 presented to Her Majesty’s High Court of Justice in the United Kingdom by the above-named Royal Liver Assurance Limited (“RLA”) for: (a) the sanction of the Court under Part I of Schedule 2C to the Insurance Companies Act 1982 (the “Act”) to a scheme (the “Scheme”) for the transfer of the entire Industrial Assurance Business (as defined in the Act) of Friends’ Provident Life Office (“FPLO”) other than the Excluded Policies (as defined in the Scheme) to RLA with effect as of 31st March 2001; and (b) an Order under paragraph 5 of Schedule 2C to the Act making ancilliary provisions for implementing the Scheme. Copies of the Petition, the Scheme and a report by the Independent Actuary pursuant to paragraph 2 of Part I of Schedule 2C to the Act may be inspected at the offices set out in the Schedule attached hereto between 9.30 a.m. and 4.30 p.m. on usual business days from the date of the publication of this notice until the date of the hearing of the Petition before a Judge of the Chancery Division as described below. The Petition is directed to be heard before a Judge of the Chancery Division at the Royal Courts of Justice, Strand, London WC2A 2LL, on 15th March 2001, and any policyholder or any person, including any employee of FPLO or RLA, who claims to be adversely affected by the Scheme may appear at the time of the hearing in person or by Counsel. Any person who intends so to appear, or who dissents from the Scheme but does not intend so to appear should give not less than 2 days prior notice in writing of such intention or dissent and the reasons therefore to the Solicitors of RLA and FPLO named below.
