IMPORTANT NOTICE ABOUT THE WILLBROS (OVERSEAS) LIMITED PENSION & LIFE ASSURANCE PLAN

The Willbros (Overseas) Limited Pension & Life Assurance Plan is to be wound up with effect from 28th February 2001. The assets of the Plan will be used to meet the liabilities. It is important that all the liabilities of the Plan are known to the Trustees before all of the assets are distributed. If you think that you have a claim or interest under the Plan, please write to the Trustees at the address given below within 2 months of the date of this notice giving details of your period(s) of relevant employment and pensionable service or other relevant details of your claim or interest. After that date the Trustees will distribute the assets of the Plan to meet the liabilities known to them. The Trustees will not be liable for any claim or interest of which it has not had notice before that date. You do not need to reply if you have had any communication during the last 6 months from the Trustees in relation to the Willbros (Overseas) Limited Pension & Life Assurance Plan. If you have changed your address since you last received any communications in relation to the Plan, please reply with details of your new address. Please reply to: A.
