MAGUS CAPITAL MANAGEMENT LIMITED
At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Lancaster House, 7 Elmfield Road, Bromley, Kent BR1 1LT, on 11 October 2002, the following Extraordinary Resolution was duly passed: “That the Company be wound voluntarily, and that Andrew Tate and Louise Brittain, of Baker Tilly, Lancaster House, 7 Elmfield Road, Bromley, Kent BR1 1LT, be and are hereby appointed as Joint Liquidators for the purposes of such winding-up, and that the Joint Liquidators, be and are hereby authorised under the provisions of section 165 of the Insolvency Act 1986, to exercise the powers laid down in Schedule 4, Part 1 of the said Act, that in accordance with the provisions of the Company’s articles of association the Joint Liquidators be and are hereby authorised to divide and distribute among the Members as appropriate, in specie or in kind the whole or any part of the assets of the Company and to determine how such division and distribution shall be carried out between the Members and that in accordance with the provision of Rule 4.127 of the Insolvency Rules 1986, the Joint Liquidators will be remunerated on a time costs basis limited to £3,500 plus VAT and expenses for the statutory procedures of the Liquidation and up to £500 plus VAT for any additional practical elements of the winding-up. It was also agreed that Baker Tilly, should be able to draw fees and expenses on account up to this figure.” S Edwards, Chairman
