At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Pattinsons, King Business Centre, 90-92 King Edward Road, Nuneaton CV11 4BB, on 17 December 2002, the following Special Resolutions were duly passed: “That the Company be wound up voluntarily and that I Pattinson be and is hereby appointed Liquidator for the purposes of such winding-p and that the Members consent to pay the Company’s debts in full together with statutory interest at the official rate within a period not exceeding 12 months from the commencement of the winding-up.” C Chatwin, Chairman
