Resolutions of an Extraordinary General Meeting of the Members of the above-named Company, held at Sterling House, 22 St Cuthbert’s Way, Darlington, County Durham DL1 1GB, on 24 November 2003, at 1.00 pm, the following Resolutions were passed as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Mark David Arthur Loftus and Malcolm Edward Fergusson of Haines Watts, Sterling House, 22 St Cuthbert’s Way, Darlington, County Durham DL1 1GB, be and they are hereby appointed Liquidators for the purposes of such winding-up.” W S Cowie, Chairman
