At an Extraordinary General Meeting of the above-named Company, duly convened, and held at The Sketchley Grange Hotel, Sketchley Lane, Burgbage, Hinckley LE10 3HU, on Tuesday 14 December 2004, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and that accordingly the Company be wound up voluntarily, and that Ronald Eric Speight of Church House, Solihull Road, Hampton in Arden B92 0EX, be and is hereby appointed Liquidator of the Company for the purposes of the voluntary winding-up.” At a Meeting of Creditors held on 14 December 2004, the Creditors confirmed the appointment of Ronald Eric Speight and that anything required or authorised to be done by the Liquidator be done by him.
