At a General Meeting of the Members of the above-named Company, duly convened, and held at Hilton Swindon Hotel, Lydiard Fields, Great Western Way, Swindon, SN5 8UZ, on 26 March 2010 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the company be wound up voluntarily and that Ian J Gould and Brian J Hamblin, both of PKF (UK) LLP, New Guild House, 45 Great Charles Street, Queensway, Birmingham B3 2LX, be and are hereby appointed Joint Liquidators for the purposes of the voluntary winding-up.”
