The Insolvency Act 1986 and The Companies Act 1985

At an Extraordinary General Meeting of the members of the above named Company, duly convened and held at 17 Berkeley Mews, 29 High Street, Cheltenham GL50 1DY on the 23 September 2010 the following resolutions were passed:

No. 1 as a Special Resolution, No. 2 as an Ordinary Resolution:

1. “That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily”

2. “That Michael Patrick Durkan of Durkan Cahill, 17 Berkeley Mews, 29 High Street, Cheltenham GL50 1DY, be and he is hereby appointed Liquidator for the purposes of such winding up”.
