At a General Meeting of the above-named Company, duly convened, and held at The White Hart Hotel, Bailgate, Lincoln, Lincolnshire, LN1 3AR on 19 January 2011 the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution:-

“That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that Paul Finnity, of Messrs RSM Tenon Recovery, 1 New Park Place, Pride Park, Derby, DE24 8DZ and John-Paul O'Hara, of Messrs RSM Tenon Recovery, 5 Ridge House, Ridge House Drive, Festival Park, Stoke-on-Trent, ST1 5SJ, (IP Nos 8768 and 9621) be and are hereby appointed Joint Liquidators for the purposes of such winding up and are to act jointly and severally.”
