At an Extraordinary General Meeting of the Company duly convened and held at Ashurst LLP, Broadwalk House, 5 Appold Street, London, EC2A 2HA, on 10 March 2011, at 10.30 am, the following Resolution was duly passed as a Special Resolution:

“That the Company be wound up voluntarily and that Stephen Roland Browne and Christopher Richard Frederick Day, both of Deloitte LLP, Athene Place, 66 Shoe Lane, London EC4A 3BQ, be and are hereby appointed liquidators for the purposes of winding up the Company’s affairs and that any required or authorised under any enactment or resolution of the Company to be done by them, may be done by them jointly or by each of them alone.”
