At an Extraordinary General Meeting of the above named Company, duly convened and held at 2 Lace Market Square, Nottingham, NG1 1PB 09 January 2012 at 2.00 pm the following resolutions were passed, as a Special Resolution and as an Ordinary Resolution:

“That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business, and that it is advisable to wind up the same and that accordingly the Company be wound up voluntarily and that Dean Nelson, of Smith Cooper, Wilmot House, St James Court, Friar Gate, Derby, DE1 1BT, (IP No. 9443) be and is hereby appointed Liquidator of the Company for the purposes of such voluntary winding-up.” At a meeting of creditors held on 9 January 2012 the creditors confirmed the appointment of Dean Nelson as Liquidator.
